Converting
Any process by which the output of the manufacturing process is transformed into a product consumed by a customer or end-user. We routinely convert the output of our paper machines into sheets of various industry standard sizes and custom dimensions. Examples of this are individual rolls of tissue and/or toweling, packaged for end-user consumption in industrial, commercial or away-from-home applications.

Operating Profit
An alternative term for Operating Income. The profit earned from a firm's normal core business operations. This value does not include any profit earned from the firm's investments such as earnings from joint ventures, or the effects of interest and taxes. Also known as Earnings Before Interest and Tax" (EBIT). Calculated as: Operating Revenue – Operating Expenses.

Shelf Registration
A document, in some cases private, in still others, public and filed with the SEC allowing a firm to issue securities on multiple occasions during the effective period of the registration, typically two years. In 2010, Wausau Paper filed a private shelf registration with Prudential to allow the issuance of up to $125 million in Private Placement Notes to this investor. As of October 29, 2010, $50 million of Private Placement Notes had been issued pursuant to this Shelf Registration.

Private Placement Notes
Bonds issued directly to a limited group of institutional investors, such as a bank, mutual fund, insurance company, pension fund or foundation for investment purposes, rather than resale, in a non-public transaction, not requiring registration with the SEC.

An unsecured obligation issued generally by companies with high credit ratings to finance short-term credit needs, such as accounts receivable and inventory.

Practical Capacity
The amount of finished product a mill, or collection of mills, can produce with existing equipment, the mill’s current product mix and workforce. Usually an approximation of maximum production capacity.

Uncoated Free-Sheet
Uncoated papers that are produced to eliminate surface imperfections caused by visible wood pulp - an indication of a highly refined and quality paper. In this category are highly technical specialty papers designed for a broad range of commercial, industrial and retail application including food packaging and processing, tape substrates, industrial fabrication and protective barriers and most premium printing, craft and communications papers.
